These Terms of Service ("Terms") are a contract between you and Luminex Global Inc. ("Riley," "we," "us," or "our"), the operator of the Riley product. By creating an account or using Riley, you agree to these Terms. If you are using Riley on behalf of an organization, you agree on its behalf.
Riley is an AI-powered service that connects to your tools, performs work you direct, monitors changes, and produces proof of what changed. Features and availability may change as the product evolves, especially during early access.
When you connect a tool, you authorize Riley to act within it on your behalf, within the scopes you grant. Riley is approval-gated by default: sensitive actions such as sending, publishing, or spending require your approval before they run. You are responsible for the instructions you give Riley and for reviewing work before you approve it.

During early access, no credit card is required. When paid plans are available, pricing scales with the work Riley performs. Our intended plan structure is a free trial, Starter, Growth, Studio, and a custom Agency tier, billed by the number of client locations you manage. Pricing is a flat price per client location, with no token meter and no surprise overages. Specific prices and limits will be presented at checkout before you are charged.
You keep ownership of the content and data you provide to Riley. You grant us the limited rights needed to operate the service, build your private workspace memory, and perform the work you ask of Riley. We do not sell your content.
Riley, including its software, design, and brand, is owned by Luminex Global Inc. and protected by law. These Terms do not grant you any rights in our intellectual property beyond using the service as permitted.
Riley generates work using AI, which can make mistakes. You are responsible for reviewing Riley's output, particularly before approving sensitive actions. We provide proof receipts to help you verify what changed, but you should not rely on Riley's output as professional, legal, or financial advice.
The service is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error free, or fit for a particular purpose.
To the fullest extent permitted by law, Luminex Global Inc. will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of Riley.
You may stop using Riley and close your account at any time. We may suspend or terminate access if you violate these Terms or to protect the service. On termination, your right to use Riley ends, and we will handle your data as described in our Privacy Policy.
These Terms are governed by the laws of the United States and the state in which Luminex Global Inc. is organized, without regard to conflict-of-law rules. The specific venue will be set out in the final version of these Terms.
